The Role Responsibilities
Lead and take responsibility for providing legal advice, guidance and support to business units and stakeholders within Brunei on legal matters. Maintain close relationships with stakeholders including the Country CEO, Country Heads of Businesses/Functions as well as Regional Product Legal Teams to provide them with relevant legal advice, guidance and support from Brunei. Promote a culture and practice of compliance with legal standards (including conducting business within legal and regulatory requirements, with high ethical standards) within Brunei. Develop thought leadership capability - as demonstrated by visibility within the country and the Group, and externally (in the industry) as a senior point of contact for Brunei legal-related consultation. Provide strategic and, where appropriate, proactive advice to the Country Management Team and other requisite committees, on all legal issues that have a significant impact on the country, working with external counsel as appropriate (and seek to proactively identify such issues). Act as a point of escalation for any material Legal issues for Brunei. Escalate, as appropriate, any material country legal issues to Head, Legal, ASA Cluster Markets and/or Regional General Counsel, ASA and/or Dispute Resolution (as appropriate).
Primary legal support for all transactional matters originated in Brunei. Primary legal support with respect to non-material disputes in Brunei. Primary legal support for Brunei specific non-transactional legal advice with respect to the Brunei business including legal support with respect to single-country supplier contracts in Brunei. Partner with other members of the Legal function, including Product Legal teams, with respect to cross-border or other legal matters involving or impacting Brunei. Partner with other members of the Legal function and contribute to (where appropriate and without duplication or overlap), the navigation of complex Legal matters in Brunei, including GSAM and own account work, as well as disputes, government investigations, M&A and employment law matters.
Act quickly and decisively when any risk and control weakness become apparent and ensure they are addressed within an appropriate timeframe and escalated through the relevant committees Continuously improve the operational efficiency and effectiveness of litigation risk management processes Manage Bruneian court orders, litigation related documents and create/maintain litigation files, to preserve and maintain legal privilege as and when required Is accountable for and has primary responsibility for the day-to-day management of the Bruneian Country Legal Panel. Assist SCB network locations in the use and instruction of external Bruneian counsel, in appropriate circumstances, including where necessary and appropriate to do so, assisting to ensure the scope of work is defined and appropriate, the quality of work is overseen effectively, legal costs are managed, and that there is appropriate overall matter management. Assist Regional Head, Subsidiary Governance, ASA & GCNA, with respect to any CoSec responsibilities in connection with the Bruneian SCB franchise.
People and Talent
Work with the Head, Legal, ASA Cluster Markets and HR to endeavour to ensure that the Bruneian Legal coverage is sufficient. To the extent required, ensure the Legal Team is adequately resourced and staffed by an appropriate number of competent staff sufficiently independent to perform duties objectively, support sustainable business growth and address relevant legal risks (subject to budgetary constraints). Promote best practice and lessons learned especially in relation to legal risks and compliance with relevant regulations and internal policies/procedures.
Identify any material Legal risks and themes in-country and communicate these to the CMT and/or Head, Legal, ASA Cluster Markets and/or Regional General Counsel, ASA, as appropriate. Within the Group's overall Risk Management Framework, establish and maintain an appropriate risk-based approach to assessing, measuring, monitoring, managing and reporting Legal Risk arising in-country. Act as Process Owner for country processes owner by Legal, where such processes are executed by the country Legal team. Act as Subject Matter Expert for Legal Enforceability risk arising in-country, as set out in the Group's Enterprise Risk Management Framework. Maintain and build awareness and understanding of the top legal risks facing the country and take an active role in managing them.
Endeavouring to ensure that any papers being tabled by Legal at country governance committees clearly articulate the issues and legal risks involved and any mitigants approved (as appropriate). Establish and maintain effective processes (including training, advice and support) to ensure that policies, procedures and standards addressing legal risk are effectively implemented within the Bruneian franchise. Ensure the effective management of legal matters handled by the Bruneian legal team. Have an awareness and understanding of the regulatory framework in which the Group operates, and the regulatory requirements and expectations relevant to the role. Challenge fellow executives effectively. Work with local regulators (when required to do so) in an open and cooperative manner. Responsibility for the Company Secretarial function in the SCB Bruneian franchise.

Our Ideal Candidate
Qualified to practice as a lawyer in Brunei. [8+] years' legal experience in private practice and/or in-house in managing and advising on complex Bruneian law matters and transactions in the wholesale banking & finance market. Good business acumen, strong leadership qualities, excellent interpersonal skills, multi-cultural awareness and sensitivity
Deep understanding of Bruneian law in the areas of retail banking, consumer protection, corporations law, general banking law, securities laws, corporate finance and trade finance. Ideally some experience in handling regulatory/government investigations and dispute resolution.
